1. Acceptance of Terms

By making a booking of any type, requesting or purchasing a service, completing payment, attending a session, using any facility or service provided by Imvent Studios, or otherwise engaging Imvent Studios for any service, the client acknowledges that they have read, understood, and agree to be legally bound by these Terms & Conditions.

Where a booking is made on behalf of a company, organisation, agency, or other entity, the individual making the booking represents and warrants that they have full authority to bind such entity to these Terms & Conditions.

2. Definitions

For the purposes of these Terms:

"Imvent Studios" means Imvent Studios FZ-LLC and/or any of its affiliated entities, subsidiaries, sister companies, holding companies, related companies, investors, successors, assigns, employees, contractors, representatives, and agents operating under the Imvent Studios brand.

"Client" means the individual, company, agency, organisation, or other party making a booking or receiving services from Imvent Studios.

"Services" means any studio rental, filming, podcast production, editing, photography, videography, content creation, consulting, production support, equipment usage, meeting room usage, or any related service provided by Imvent Studios.

"Booking" means any reservation confirmed through the Imvent Studios website, booking platform, email, proposal, quotation, invoice, or any other booking mechanism.

3. Booking Confirmation

All bookings are subject to availability and shall only be considered confirmed upon successful receipt of payment or written confirmation from Imvent Studios.

Imvent Studios reserves the right to decline, reject, suspend, or cancel any booking request at its sole discretion.

4. Pricing, Currency, VAT & Payment

All prices are stated in United Arab Emirates Dirhams (AED).

Applicable VAT and other taxes shall be charged in accordance with applicable laws and regulations unless expressly stated otherwise.

Full payment is required before confirmation of a booking.

Imvent Studios reserves the right to suspend, cancel, or refuse access to any booking where payment is unsuccessful, disputed, reversed, charged back, declined, or otherwise not received in cleared funds.

The Client shall remain liable for any unpaid amounts together with any collection costs, administrative costs, bank charges, legal fees, and recovery expenses incurred by Imvent Studios.

5. Cancellation Policy

Bookings may be cancelled up to forty-eight (48) hours before the scheduled booking start time. Where a cancellation is made more than forty-eight (48) hours before the booking, the Client shall receive studio credit equal to the booking value.

Studio Credit:

- is non-refundable;

- is non-transferable;

- has no cash value;

- must be used within one (1) calendar month within one transaction only from the date of issue.

Cancellations made less than forty-eight (48) hours before the scheduled booking start time shall be deemed forfeited and no refund, credit, or rescheduling entitlement shall apply.

6. Rescheduling Policy

Bookings may be rescheduled once without charge provided the request is received at least forty-eight (48) hours before the scheduled booking start time.

Rescheduling requests received within forty-eight (48) hours of the booking start time shall incur an additional fee of 50% of the total checkout amount. Rescheduling requests received within four (4) hours of the booking start time shall be treated as a no-show booking. The customer may reschedule the booking, however, will be asked to pay rescheduling fees equating to the amount of a new booking. All rescheduled bookings remain subject to studio availability.

7. No-Show Policy

Failure to attend a confirmed booking for any reason shall constitute a no-show. No refunds, credits, transfers, or rescheduling rights shall apply in relation to no-show bookings.

8. Arrival, Access & Late Attendance

Clients are encouraged to arrive at least fifteen (15) minutes prior to their scheduled booking. Access to studios may not be available before the booked session start time. Late arrival shall not extend the booking duration.

Sessions shall conclude at the scheduled booking end time unless an extension has been approved by Imvent Studios.

9. Session Extensions & Overtime

Extensions may be requested during a session and shall be subject to availability. Approved extensions shall be charged at Imvent Studios' prevailing rates. Where a session exceeds the booked duration, additional charges may apply.

Imvent Studios reserves the right to conclude any session at the scheduled booking end time where subsequent bookings or operational requirements prevent extension.

10. Studio Capacity & Guests

The booking holder shall be responsible for all guests, attendees, contractors, talent, and representatives attending the session. Guest numbers may not exceed the maximum permitted occupancy of the booked space.

Imvent Studios reserves the right to refuse entry to any person or require any person to leave the premises where operational, legal, safety, or security concerns arise.

11. Equipment & Facilities

Imvent Studios shall use reasonable efforts to ensure equipment and facilities remain operational and available. Specific equipment models, accessories, configurations, layouts, or studio setups are not guaranteed unless expressly confirmed in writing.

Imvent Studios reserves the right to substitute equipment or facilities with equivalent alternatives where reasonably necessary.

12. Technical Failures

In the event of technical malfunction, equipment failure, power interruption, internet outage, software issue, or any operational issue affecting a booking, Imvent Studios shall use reasonable efforts to rectify the issue.

The Client's sole remedy shall be one of the following at Imvent Studios' discretion:

(a) additional studio time;

(b) rescheduling of the affected portion of the booking;

(c) re-performance of the affected service; or

(d) a reasonable partial refund.

13. Studio Conduct

Clients and guests shall conduct themselves professionally and respectfully at all times. Abusive, threatening, violent, discriminatory, unlawful, disruptive, intoxicated, or inappropriate behaviour shall not be tolerated. Imvent Studios reserves the right to immediately terminate any booking where such conduct occurs. No refund, credit, or compensation shall be payable where a booking is terminated due to client misconduct.

14. Damage to Property

The Client shall be fully responsible for any loss, damage, destruction, theft, excessive cleaning, repair, replacement, or restoration costs arising from the actions or omissions of the Client or its guests. Imvent Studios reserves the right to recover all associated costs.

15. Client Property

Clients bring equipment, props, wardrobe, media, storage devices, and personal belongings to the premises entirely at their own risk. Imvent Studios shall not be responsible for loss, theft, damage, corruption, deterioration, or destruction of client property.

Items left behind may be removed, disposed of, or donated if unclaimed after thirty (30) days.

16. Food, Beverage & Smoking

Smoking, vaping, illegal substances, hazardous materials, open flames, and dangerous items are strictly prohibited.

Food and beverages from outside are not permitted. Any food and beverages purchased from Imvent Studios may be consumed in designated areas. Additional cleaning fees may be charged where necessary.

17. Content Responsibility

Clients are solely responsible for all content created, recorded, streamed, published, distributed, promoted, or otherwise produced using Imvent Studios' facilities or services. Imvent Studios does not review, endorse, verify, or assume responsibility for client content.

18. Intellectual Property & Third-Party Rights

Clients warrant that they possess all rights, licences, permissions, approvals, releases, consents, and authorisations necessary for any content, music, logos, trademarks, brands, images, likenesses, performances, materials, or intellectual property used during a booking.

The Client shall be solely responsible for any infringement or violation of third-party rights.

Ownership of final deliverables shall remain subject to the purchased service scope and any separate written agreement.

19. Recording Consents

The Client is solely responsible for obtaining all required permissions, releases, waivers, licences, and consents from any individual appearing in any recording, photograph, livestream, podcast, interview, production, or content captured during the booking.

20. Editing & Production Services

Where editing, production, filming, photography, videography, or post-production services are provided:

- delivery timelines are estimates only;

- timelines may be extended by operational requirements or delayed client feedback;

- two (2) revision rounds are included unless otherwise agreed;

- additional revisions or scope changes may incur additional charges.

21. File Delivery & Retention

Delivered files shall be deemed accepted unless material issues are reported within one (1) day of delivery. Raw footage, project files, and working files may be deleted immediately or within thirty (30) days following final delivery depending on the type of service booked.

Clients are solely responsible for bringing their own SSD drive and/or downloading, storing, backing up, and securing delivered files. Imvent Studios shall have no liability for files deleted after the retention period (if applicable).

22. Marketing & Promotional Content

Imvent Studios may capture behind-the-scenes photographs, videos, testimonials, studio imagery, or operational footage for promotional purposes. Imvent Studios shall not intentionally use identifiable client content, unreleased materials, confidential information, or client branding in marketing materials without prior consent, unless such content has already been publicly released by the Client.

Imvent Studios may use guest names, images, social media platforms as part of their marketing materials and for case studies.

Clients may opt out of promotional use by providing written notice to support@imventstudios.com.

23. Privacy & Confidentiality

Clients acknowledge that other clients may simultaneously use shared facilities within the premises.

Recording, photographing, filming, monitoring, or capturing confidential information relating to other clients without permission is prohibited.

Common areas may be monitored by CCTV for operational, safety, and security purposes.

24. Acceptable Use

Clients shall not use Imvent Studios facilities or services for any unlawful purpose or for the creation, publication, distribution, or promotion of content that violates applicable UAE laws.

Imvent Studios reserves the right to suspend or terminate any booking that may create legal, reputational, operational, compliance, or safety concerns.

25. Minors

Individuals under eighteen (18) years of age must be accompanied, supervised, or authorised by a parent or legal guardian. Imvent Studios may require evidence of such consent at any time and may refuse entry.

26. On-Location Productions

For productions conducted outside Imvent Studios premises, the Client shall remain responsible for obtaining all required permits, permissions, licences, approvals, access rights, and location authorisations unless otherwise agreed in writing.

27. Right to Refuse Service

Imvent Studios reserves the absolute right to refuse, suspend, terminate, or discontinue any booking or service where:

- these Terms are breached;

- safety concerns arise;

- unlawful activity is suspected;

- operational disruption occurs;

- payment issues arise; or

- continuation may expose Imvent Studios to legal, regulatory, reputational, or commercial risk.

28. Limitation of Liability

To the maximum extent permitted by law, Imvent Studios shall not be liable for any indirect, incidental, consequential, special, punitive, or economic loss, including loss of profit, revenue, business opportunity, goodwill, reputation, data, or anticipated savings.

Imvent Studios' total aggregate liability arising from any booking or service shall not exceed the total fees paid by the Client for the specific booking giving rise to the claim.

29. Indemnity

The Client shall indemnify, defend, and hold harmless Imvent Studios and its directors, shareholders, officers, employees, contractors, affiliates, agents, successors, and assigns from and against any claim, action, liability, loss, damage, penalty, fine, expense, or cost (including legal fees on a full indemnity basis) arising from:

- the Client's content;

- breach of these Terms;

- negligent acts or omissions;

- infringement of intellectual property rights;

- injuries caused by the Client or guests;

- violation of law.

30. Force Majeure

Imvent Studios shall not be liable for any failure, delay, interruption, or cancellation caused by events beyond its reasonable control including acts of God, government action, regulatory restrictions, labour disputes, utility failures, internet outages, telecommunications failures, pandemics, public health emergencies, natural disasters, war, terrorism, civil unrest, or similar events.

31. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai.

The courts of Dubai shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms.

32. Amendments

Imvent Studios reserves the right to amend these Terms & Conditions at any time. The version published and in force at the time of booking shall govern that booking.

33. General Provisions

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between the parties regarding the booking and supersede all prior discussions, communications, understandings, and representations relating thereto. No waiver by Imvent Studios shall be effective unless made in writing.

Clients may not assign or transfer any rights arising under these Terms without the prior written consent of Imvent Studios.
